Senior Corporate Counsel

 (based in Sunnyvale, California, or Westford, MA or Herndon, VA)

 

The successful candidate will provide legal support for various field-operation activities including sales, service and marketing focusing primarily on commercial transactions in the Americas.  Duties include structuring, drafting, reviewing, negotiating and closing a wide variety of commercial transactions, including inbound and outbound purchase agreements, software license agreements, service agreements, OEM agreements, channel-related agreements (distribution and reseller agreements), joint development agreements, logistics agreements, and nondisclosure agreements.  Draft and review sales-related correspondence, including RFP responses. Train applicable organizations on key legal issues affecting the business.  The position will require interactions with customers as well as a broad spectrum of internal functions, including product groups, sales, services, operations and finance. May provide work direction to other attorneys and legal staff.  Experience negotiating with large enterprise customers and telecom service providers would be a plus. 

 

This position will report to the Assistant General Counsel, Director of Legal Affairs, Americas based in the Sunnyvale.

 

Required Skills:

 Juris Doctorate degree from an accredited law school. Current member in good standing of the California bar. Spanish language fluency. Ability to handle sensitive situations tactfully yet firmly, to be assertive without being adversarial and to take unpopular positions when necessary while maintaining trust and credibility. This position requires a team player who can work with minimal supervision in a fast-moving environment. Consistently anticipate, guard against, provide timely evaluation and guidance of, and propose mitigation strategies for and advise management of potential risks in contractual, regulatory, revenue recognition, compliance, financial and legal areas. Assist Assistant General Counsel in developing, implementing, improving and reviewing legal and compliance processes, procedures and training. Experience with revenue recognition and other accounting issues that arise in commercial transactions with large software or telecom companies. This position requires a team player who can work with minimal supervision in a fast-moving environment.  Effective verbal and written communication skills in all interactions with senior management, corporate departments and all levels of employees. Developed business acumen, with ability to understand the company's business and anticipate the nature and magnitude of issues that could arise in various settings. The successful candidate will have a minimum of 7-10 years of experience, preferably in-house, and will have broad commercial contract experience.
