Legal Specialist, Seperate Accounts

Job Description:Primary Purpose of the Position:This position exists under the direction and supervision of Associate Legal Counsel to assist in the exercise, coordination, and maintenance of the Department’s Global Investment Advisory Group’s processes and procedures.Principal Responsibilities:1. Separate Account Management. The incumbent is responsible for the processing and electronic retention of: separate account client documentation, including Private Asset Management (PAM) accounts; Stable Asset Management account documentation; and Common Trust Fund documentation. The incumbent is responsible for tracking all incoming documentation, including client investment advisory agreements, amendments, correspondence on interpretive issues, and other material communications. The incumbent establishes new and amended contract records in the LMS database and ensures Legal Compliance receives original executed documents. 2. The incumbent is responsible for initiating the annual review of the Trading, Investment Adviser, and Separate Account Procedures manuals and providing process support to the Associate Legal Counsels during the review. Incumbent will work with the Associate Legal Counsels for subsequent updates to the manuals on an as-needed basis. Incumbent maintains up-to-date manual exhibits. Incumbent inputs updates to manuals and new procedures to the ECM repository and monitors the routing process of individual documents to ensure approvals are received. 3. Records Management. The incumbent is responsible for the maintenance of the group’s recordkeeping system consistent with Department policy. The incumbent will ensure the appropriate filing of incoming documentation and provide oversight in the creation of new files. The incumbent will facilitate changes to the filing system as the Department’s needs change.4. ADV/Proxy Policy/Level I Disclosure Mailings. The Incumbent will work with the Associate Legal Counsels, Lead/Senior Legal Analysts, Legal Specialist, and appropriate business units to disseminate updated SEC-registered advisers’ Forms ADV. This includes the annual ADV mailing, the annual mailing of the firm’s proxy voting policies where applicable, and the annual provision of Level 1 Disclosure documents to clients of T. Rowe Price International, Inc., T. Rowe Price Global Investment Services Limited, and T. Rowe Price Global Asset Management Limited, pursuant to regulatory requirements. The incumbent maintains documentation of disclosure mailings and documents receipt when new accounts incept.Qualifications:*High school diploma, or equivalent, and a minimum of 2 years related work experience; or college degree.*Self-discipline and tolerance for repetitious work.*Detail-oriented and excellent proofreading skills.*Good grammar and written skills.*Ability to organize work and follow through to timely completion.*Strong interpersonal skills and communication skills.*Ability to work well under pressure.*Ability to work with minimal supervision.*Ability to interact with contacts outside of the department.*Demonstrates willingness to assist others within the group to accomplish common objectives.*Ability to build positive relationships with individuals at all levels.*Excellent skills in Microsoft suite of products - Word, Excel and Access.*A.A. degree/Paralegal training and/or related experience preferred.*Work experience in a legal or business environment preferred.T.
