Staff Attorney

Center Valley, PA - The Staff Attorney will provide legal advice to internal clients on a broad range of legal matters. The incumbent will handle daily requests for contractual revisions, and will render other legal services for the corporation. He/She will also provide secondary support to other attorneys within the Legal Department.  EOE M/F/D/V

* Review, negotiate, draft and administer agreements and other legal documents on behalf of the corporation's product groups and corporate departments.
 
* Assist in the revision of standard form contracts and the development of new form contracts that advance the corporation's interests for repetitive business transactions.

* Provide advice on employment matters and draft employment-related agreements and policies.
 
* Anticipate and guard against legal risks facing the corporation.
 
* Provide analysis and counsel on existing policies and the development of new policies.
 
* Educate, advise and counsel business colleagues on relevant legal issues affecting the corporation.
 
* Coordinate matters related to civil litigation, administrative proceedings and other cases to initiate legal action or formulate defenses against other persons and entities.
 
* Perform due diligence for business transactions, including joint ventures, distribution agreements, asset purchases, stock purchases, mergers and other business combinations.
 
* Function both independently and as part of a team to deliver quality work product in a timely fashion while maintaining the confidentiality of Legal Department communications and documentation.
 
* Perform other duties as assigned.

 

(ONLY QUALIFIED CANDIDATES WILL BE CONSIDERED)

* A J.D. from an accredited law school and licensure in accordance with Pennsylvania State Bar requirements is required.
 
* Must possess two to four years of general commercial transactional experience with a law firm or in-house legal department.
 
* Excellent written and verbal communication skills and the ability to maintain a positive professional image is required.
 
* Must be exceptionally organized and prepared to work under pressure gracefully in a fast-paced expanding corporate environment.
 
* An understanding of fraud and abuse, anti-kickback and other rules and regulations applicable to medical device companies is a plus, but is not essential.
