Vice President, Assistant General Counsel - Commercial
General Summary To assist the Executive Vice President, General Counsel in handling commercial contracting and strategy functions for the company and its subsidiaries and divisions. Primary responsibilities will include design, implementation and oversight of contract management functions for all operating subsidiaries and divisions, and contract negotiation and pre-litigation dispute activities, including engagement and supervision of outside counsel as warranted (with General Counsel approval). Other duties will include revision of existing, and development of new, form agreements, and providing legal and, where appropriate, strategic advice to business executives and management in connection with commercial matters (including specifically with respect to federal and state anti-trust and unfair trade or competition laws). The nature of this job requires an individual who is intelligent, perceptive, articulate, organized, detail oriented, self-motivated and able to work under pressure of time deadlines and business and commercial needs. The individual must have excellent academic credentials at the undergraduate and law school levels and superb contract drafting and legal writing skills. Other requirements include a law degree from a top-tier, ABA accredited law school (or foreign equivalent), minimum seven years experience in law practice, with concentration in commercial law and preferred experience with antitrust law and transportation industry matters. This individual will be involved in highly sensitive matters; maintenance of confidentiality and adherence to ethical standards are imperative. Principle Responsibilities Responsibility for discreet legal matters assigned, including review and negotiation of commercial contracts and business acquisitions, evaluation of business objectives and legal risks, and advice and counsel to other executive officers and managers. Supervision and coordination of outside legal counsel regarding legal matters assigned. Drafting, review and negotiation of commercial contracts and acquisition documentation. Assistance with legal and regulatory requirements affecting the company, its subsidiaries and divisions, including compliance with federal and state transportation, antitrust, and commercial laws and regulations, and contractual requirements. Job Specifications Excellent academic credentials at the undergraduate and law school levels, including a law degree from a top-tier, ABA accredited law school (or foreign equivalent), minimum 5 years experience in the practice of law, with concentration in commercial law. Experience with business acquisitions, antitrust and competition law issues and transportation industry matters preferred, but not required. Variation and quantity of different assignments make it challenging to keep priorities in order. Requires strict attention to detail as well as good business judgment. Must possess knowledge of and be able to use, with minimum support, Microsoft Windows software programs (Word, Powerpoint, Excel, Outlook), system network, and other copier, phone, fax machine, calculator and other small hand office tools.
