Vice President, Business & Legal Affairs, Nickelodeon Kids and Family Games Group

 

 

SUMMARY OF JOB

 

Provide day-to-day legal services required in the operation of all areas of new media and interactive businesses including online and ecommerce, licensing and wireless for the Nickelodeon Kids and Family Games Group. 

 

 

ESSENTIAL DUTIES AND RESPONSIBILITIES

 

PRIMARY ACTIVITIES

 

At the direction of and under the supervision of the Senior Vice President, Business and Legal Affairs, the VP will manage business and legal affairs for the San Francisco office and practice across a broad range of disciplines including copyright law, internet law, e-commerce, wireless, content licensing, and online production and development.  The Vice President will primarily work with Shockwave and AddictingGames while also generally supporting premium interactive games transactions across the Nickelodeon Kids and Family GamesGroup. The VP will perform the following activities:

 

 

1. Negotiate, structure, draft and review for execution by management, various types of contracts in connection with the acquisition, creation, production and distribution of interactive games content including: (i) joint venture, strategic alliance and original equipment manufacturing (OEM) agreements; (ii) online and wireless game development agreements; (iii) online and wireless game publishing and distribution agreements; (iv) online and wireless game acquisition agreements; and (v) independent contractor and service provider agreements.

 

2. Provide advice and counsel to management regarding proposed business opportunities, strategies and actions, including in the areas of social networking, virtual items and user-generated content and also on various content clearance issues. 

 

 

3. Counsel management on the creation of innovative sponsorships and other revenue generating initiatives, including contests and sweepstakes, to ensure compliance with all laws and regulations.  Draft applicable terms and conditions and rules for all marketing and ad sales initiatives.

 

4. Review all new product features and specifications to ensure compliance with terms of service, privacy policy and all applicable laws and regulations.  Counsel management on best industry practices and provide compliant business alternatives.

 

5. Provide specific guidance with respect to DMCA, CDA, COPPA, SB-27, CAN-SPAM and Children’s Television Act, compliance, ensuring that our websites comply with applicable guidelines by reviewing and revising terms of service, privacy policies and practices.  Liaise with corporate privacy lawyers to ensure MTVN-wide compliance and also with outside counsel to stay up to date on new laws and regulations.

 

6. Ensure that contract templates are regularly updated and maintained by the attorney under direct supervision and provide guidance as needed.

 

7. Cultivate and maintain channels of communication with key MTVN Legal and Business Affairs personnel in technical areas including music clearance, sweepstakes, trademarks, guilds, regulatory compliance and standards and practices.

 

8. Communicate and resolve consumer issues related to the management of our websites.

 

9. Supervise an attorney, contracts manager and licensing coordinator to assist with day to day management of legal services in the San Francisco office.

 

10. Perform other essential functions as assigned and maintain regular and predictable attendance.

QUALIFICATIONS

 

Education/Experience

 

To perform this job successfully, candidate must have an accredited law degree, with no less than 7 years legal practice (8 years preferred).  The VP must work under the pressure of responding to multiple requests and priorities from multiple internal client bases. 

 

Knowledge

 

Required:

· Excellent client relations skills and experience interfacing with top level executives.

· Experience in  technology transactions, Internet  and new media law matters

· Experience in copyright, trademark and right of publicity matters.

 

· Superior oral and written communication skills

· Ability to identify and creatively resolve complicated and sensitive problems

· Sound business judgment

· Professional discretion

 

Preferred:

· Experience in game development and game publishing.

· Private Practice experience with law firm or in-house experience at recognized entertainment, media or technology company.
