Senior Corporate Paralegal

The Silicon Valley Office is seeking a Senior Corporate Paralegal. Responsibilities include, but are not limited to: Transactional Work: Drafts complex transaction documents and is intimately involved in revision and finalization process in connection with equity and debt financing, mergers and acquisitions and public offerings; may draft board meeting minutes; ensures timely and correct completion of transaction documentation; prepares blue sky filings and interacts with state securities examiners. Legal/Fact Research: Possesses advanced knowledge of state and federal securities laws; has the ability to perform complex research and analysis of securities law compliance matters; may assist with audit letter research and preparation; conducts complex due diligence analysis; analyzes contractual provisions and restrictions. Capitalization Management: Possesses broad knowledge of relevant securities law and tax issues in stock administration; acts as principal contact with client’s auditors and other agents; primary responsibility for capitalization maintenance including preparation of pro rata and pro forma calculations; analyzes Section 16 requirements and prepares filings; possesses thorough understanding of Rules 144 and 701; performs analysis of restricted stock resales and drafts complex Rules 144 and 701 opinion letters. Corporate Maintenance: Independently manages incorporation documentation, document drafting, preparation of securities laws filings and client records maintenance.


The ideal candidate possesses: Bachelor’s degree or completion of a paralegal program of study or a demonstrated equivalent or academic and/or professional experience preferred; Minimum of six years of paralegal experience; Must meet all other eligibility requirements Must meet the conditions and criteria set forth in the California Business and Professions Code, Section 6450; Post college level writing and oral communication skills; Advanced proficiency in mathematics; Advanced proficiency with Microsoft Office computerized business applications; Plans and effectively uses and/or supervise the use of computerized professional/legal research and document retention databases as well as the effective use of software to record and manipulate securities tracking database.
