Division Counsel

FMC employs approximately 5,000 people throughout the world and operates 32 manufacturing facilities and mines in 16 countries.  As area counsel for FMC’s Agricultural Products Group, the incumbent we seek will work closely with Division management to provide guidance on legal issues that impact the strategy or operations and have lead responsibility as legal counsel for two or more of business units in the Agricultural Products Group.  Core responsibilities include: • Commercial Contracts. Drafting and advising on distributorship, sales agency, supply, tolling, consulting and other agreements. • Antitrust. Identifying antitrust issues and working with expert counsel to resolve them (based on at least a broad understanding of antitrust laws). • Acquisitions, joint ventures. Advising on acquisitions, joint ventures and other APG business growth initiatives. • Training. Assuming a leading role in training global management teams to assure legal compliance, adherence to contract guidelines and mitigation of risk generally. • Litigation management. Managing APG products liability matters, working with FMC Litigation Manager to develop strategy and seek to resolve cases and claims on a cost effective basis and within budget. • Regulatory Counseling. Becoming familiar with and advising FMC APG on compliance matters under applicable pesticide laws in the United States (FIFRA) as well as other statutes that have particular application to APG businesses. • In intellectual property, environmental, bankruptcy, employee and benefits issues, this attorney will work with other members of the FMC Law Department.

Job Requirements:
•Business counsel with 5+ years experience and a proven track record in a corporate law department or private law firm environment •Ability to work independently and handle multiple priorities within deadlines as well as potentially anticipating needs and priorities and initiating and coordinating actions •Broad experience in drafting legal documentation, contracts and regulatory filings experience is a plus. •Detailed oriented individual with ability to function effectively under pressure •Self starter, ability to perform without significant direct supervision •Experience as lead counsel in business transactions •Prior experience in directly counseling senior management teams with respect to compliance and ongoing legal issues. •Prior Experience as lead counsel in complex business transactions (e.g. acquisitions or joint ventures) is relevant. •Excellent verbal and written communication skills •Ability to prioritize and manage complex issuesprojects that have significant business impact •Strong interpersonal skills •Chemical/pesticide industry experience a plus •Experience in a corporate law department a plus •International experience a plus •College degree •JD or LLB from a leading US accredited law school •Current Bar membership in a US jurisdiction.
