The job duties/description are as follows: Organizes business entities of all types; checks availability of and reserves corporate names; prepares and files certificates of incorporation, merger, dissolution and related documents. Prepares incorporator actions, by-laws, stock certificates, stock ledgers, organizational and shareholder resolutions and related applications, filings and documentation. Obtains corporate record books, corporate seals, and stock certificates; organizes and updates corporate record books and effects transfers of stock; prepares and files annual reports for states of incorporation or qualification and obtains necessary signatures; prepares SEC file packages for corporate filings. Summarizes, outlines, edits, abstracts, redlines and compares legal documents as required; provides closing assistance and prepares bound volumes of closing documents. Assists with corporate due diligence and preparations of audit letters. Prepares, organizes and updates transaction files. Orders documents from government agencies, private document retrieval companies and internal sources as appropriate. Prepares and updates working group lists and updates timetables and checklists; prepares correspondence and drafts of documents for comment. Performs research for and prepares drafts of initial Blue Sky and related surveys and proofs for content, typos and cross-references as appropriate.  Arranges all aspects of Blue Sky filings including follow-up Blue Sky work and federal and state registrations as an investment adviser or broker/dealer. Performs searches on Lexis/Nexis and other databases.



Requirements


A Bachelor's degree (B.S. or B.A.) or equivalent from four-year program at accredited college or university required. 

Graduation and Certificate from ABA approved legal assistant training program or the equivalent with a specialty in Corporations & Securities.

A minimum of five years experience as a Corporate Legal Assistant is required.
