Corporate Paralegal (Downtown LA)

Downtown LA firm seeks corporate paralegal to manage and organize all aspects of corporate and finance based legal transactions including, but not limited to: coordinate document flow and logistical preparation for complex legal transactional closings; draft, organize and review transactional documents including corporate minutes, consents, UCC filings, entity formation and dissolution documents, stock certificates and related transfers, officer certificates and other basic corporate documents; review and provide comments on the adequacy of documents and take necessary steps to cure any deficiencies; obtain documents, clearances, certificates and approvals from local, state and federal agencies; conduct legal and factual research and evaluate various corporate documents in connection with due diligence, public offerings, mergers and other corporate transactions; organize and prepare document closing volumes for clients;  prepare routine legal correspondence and memoranda; and  perform basic maintenance of corporate records. The ideal candidate is a highly organized individual able to take initiative and work independently to complete tasks, and likewise work with a team in high pressure situations under time deadlines. Candidate ideally should possess both a BA/BS degree with a paralegal certificate from an accredited ABA program. Candidate must be willing to work some overtime on occasion, demonstrate “team playerâ€� qualities and assimilate into the firm’s environment with relative ease. Must have 3-7 years experience.
