REFERENCE CODE: CorpPlg.KLJ.8.13.08 Corporate Paralegal- 7 hour days, thriving firm, looking to move!     Our client is a Large International Law Firm located in the heart of Downtown Los Angeles looking for a seasoned Corporate Paralegal to join their stable team.  The firm has very low turn over and is thriving right now.  They offer amazing benefits and pride themselves on 7 hour days for their support staff!  They are looking for a paralegal that can come on board, hit the ground running and really contribute to the team and practice group.REQUIREMENTS: A Bachelor's degree from an accredited college or university Paralegal certificate from an ABA approved program 5 years minimum as a corporate paralegal Must have expertise in Corporations & Securities Blue Sky filing experience a plus but not requiredJOB DUTIES: Will be responsible for organizing business entities of all types; checking availability of and reserving corporate names; preparing and filing certificates of incorporation, merger, dissolution and related documents Will prepare incorporator actions, by-laws, stock certificates, stock ledgers, organizational and shareholder resolutions and related applications, filings and documentation. Obtains corporate record books, corporate seals, and stock certificates Responsible for filing annual reports for states of incorporation or qualification and will obtain necessary signatures Will prepare SEC file packages for corporate filings Must possess strong writing skills as this role is responsible for summarizing, outlining, editing, redlining and comparing legal documents Will prepare bound volumes of closing documents and update transaction files Will assist with corporate due diligence and preparations for audit letters Will order documents from government agencies, private document retrieval companies and internal sources as appropriate Must perform research for and prepare drafts of initial Blue Sky and related surveys and proofs for content, typos and cross-references as appropriate.
