Corporate Paralegal
Corporate Paralegal General Function· Will report to the Senior Legal Manager but be involved in various matters handled by the Office of the General Counsel (“OGC”)· Substantive matters handled by the OGC relating principally to domestic and international corporate, securities, litigation, real estate, commercial licensing compliance and intellectual property· Excellent opportunity to work in a close-knit environment together with other dedicated legal professionals on a variety of matters faced by a dynamic, publicly traded high-tech company· Generally expected work hours are approximately 9:00AM – 6:00PM, with understanding that hours may be longer in the event of a transaction closing or other urgent work Job Duties (include but are not limited to)· Assist with preparation of materials for the board of directors of the parent and subsidiaries· Prepare and coordinate due diligence matters· Review/prepare disclosure schedules· Handle transactional and other legal distributions· Assist with coordination and preparation of SEC filings· Draft Section 16 reports· Coordinate with counsel and prepare regular litigation status updates· Handle corporate maintenance matters such as stock and subsidiary ledgers· Maintain/create tracking systems and other information management processes for legal matters· Assist with various matters relating to domestic and international subsidiaries· Assist with domestic and international commercial licensing compliance matters· Review/proof documents generally· Assist with basic IP registration matters Experience/Skill Requirements· B.A. or B.S. (or equivalent)· Experience with, and enthusiasm for, the wide range of corporate, some SEC and other matters that the OGC handles· At least 2 years’ experience at law firm or in-house strongly preferred, but will consider fast learning, energetic candidates with less experience· Very organized, with attention to detail and ability to multi-task and prioritize effectively· Good communication skills and ability to work with different personalities and temperaments· Self-starter who desires to show ownership and commitment to the job· Experience with litigation matters would be a plus.
