Summary of PositionReporting to the CFO, this position will be the key resource for the corporation relating to global legal entity structure, corporate governance and will have strong exposure to the Board of Directors.  Objectives Serve as Global Corporate Counsel relating to organizational structure, shareholder issues, fiduciary responsibility and corporate governance. Ensure the quality and timeliness of legal advice to internal business clients and senior management on a broad range of legal and regulatory matters. Manage, oversee and participate in drafting and negotiation a wide range of legal and commercial documents. Participate in the definition and development of corporate policies, procedures and programs. Provide continuing counsel and guidance on legal matters and on legal implications of all corporate matters. Perform legal research and provide opinions or memoranda regarding employment and contract liability, as well as other general corporate issues. Experience with contract review and drafting including information protection, confidentiality, proprietary information and restrictive covenant issues. Involved in the evaluation of the merits of cases filed against or on behalf of the company, work with appropriate executive(s) to define a strategic defense and approve settlements of disputes where warranted. Responsibility for ensuring that the corporation conducts its business in compliance with applicable laws and regulations. Responsible for providing guidance and legal assurance as it relates to legal entity structure and tax implications. Monitor press releases, public announcements and earnings releases to ensure proper legal treatment Represent corporation demonstrating a clear understanding and adherence to ethical principles, company values, code of conduct and policies.Specific Requirements: JD degree and New York Bar membership. Senior Associate level (5+ years experience post law school) as a corporate attorney (not litigation) Candidate must be self motivated and possess strong interpersonal and communications skills. Experience advising public companies in securities law and corporate law Strong business and financial acumen as well as superior analytical and writing skills. Ability to write business legal reports and correspondence. Experienced in effectively presenting information to senior management. Experience working on matters of corporate governance and with a Board of Directors preferred. Experience working with legal entity structuring outside of the US preferred.
