Corporate Attorney

ESSENTIAL DUTIES AND RESPONSIBILITIES include the following.

Requires an in-depth understanding of FINRA rules and their application.
Successful completion of FINRA examinations,
FINRA arbitration and/or litigation experience desirable,
Working knowledge of clearing, settlement, intercompany services.
General knowledge of securities laws including state laws.
Provides interpretation and strategies, initiates communications to clients, and designs solutions for situations that may have high financial, regulatory and/or public relations risk or significance.Monitors and interprets a broad range of complex, current, and proposed laws and regulations on the federal and state level affecting area of specialization.
Anticipates, identifies, and communicates issues of significant legal concern.
Communicates Computershares corporate position to government agencies, legislators, and regulators.
Drafts, reviews, and negotiates agreements and related documents that may include cross-jurisdictional matters, joint ventures, asset and stock purchase agreements, outsourcing agreements, distribution agreements, real estate related agreements or employment related agreements.
Conducts research, interviews clients, and gathers facts to establish and verify basis for legal proceedings (may be supervising or in concert with outside attorneys).
May lead and direct the work of other attorneys and staff.
Other responsibilities may include social media projects, new product concepts and initiatives in and outside FINRA regulation, business awareness training e.g. insider trading, attorney client privilege, FTC/consumer issues, contracts, escheat matters, and marketing collateral review.

CANDIDATE REQUIREMENTS:

Strong oral and written communication skills
Ability to provide practical service and solutions
Organizational/management skills
Series 7 licensed
EDUCATION AND EXPERIENCE:

Law school graduate (JD Degree) and eight plus years related experience and/or training
Licensed to practice law in State of New Jersey
