BUSINESS AND CORPORATE TRANSACTIONS ASSOCIATE ATTORNEY

Fitzgerald Abbott & Beardsley LLP is seeking an attorney for its Business and Corporate Transaction Group. The candidate must have 3-4 years of experience giving advice regarding entity formation; contract and equipment lease review; interpretation, preparation and negotiation of business contracts; mergers and acquisitions; corporate reorganizations; asset and stock purchases; employee benefit and stock option plans; duties of corporate officers and directors and enforceability of covenants not to compete; trade secret and non-solicitation agreements, as well as business succession and tax planning. Special experience in federal and state securities laws, and licensing and intellectual property transactions is preferred. Must be a member of the State Bar of California.FAB provides the opportunity for an individual who seeks to join a well-established, high quality, mid-size, collegial, multi-practice firm consisting of business transactions, land use, environmental, litigation, taxation, estate & trust, and employment law practice groups.
