Support managing paralegal on all production related matters  Essential Duties and Responsibilities: Assist with the preparation of SEC filings, supporting Counsel, as requested. Coordinate the printing and distribution of prospectuses and proxy statements, including responsibility developing and implementing schedules, involving multiple variables and resources. Coordinate the proxy solicitations and tabulation arrangements and prepare shareholder meeting documents, vote reporting, draft minutes, and prepare shareholder meeting binder. Prepare and file trust and corporation documents and certain other necessary state filings, which require detailed analysis of document and filing requirements Prepare agendas, resolution, chairman scripts, minutes and debriefing memos for board meetings. Attend board meetings and record the minutes, at the discretion and request of Counsel. Maintain the official minute book. Coordinate the preparation, production and distribution of board meeting materials, including reviewing materials for accuracy and completeness Prepare initial draft of contracts/agreements and policies/procedures. Establish and maintain fidelity bond and D&O/E&O insurance coverage under supervision of Counsel Archival and retrieval of fund records, whether hard copy or electronic, including supervision of Legal Service Coordinators over the organization and maintenance of hard copy files and electronic files Support Counsel with SEC, state examination and internal audits Active participation and involvement with Legal Service Training Program Job Specifications: Bachelor’s Degree Paralegal certification from an ABA approved program One to three years of securities and corporate legal experience. experience.
