Department Description: The Office of General Counsel (OGC) provides expert legal, regulatory and compliance guidance to Merrill Lynch's management and employees, across all businesses around the world.  This ensures consistency with the firm's principles, compliance with applicable laws and regulations, a superior standard of service for issuing and investing clients, and the enhancement and protection of shareholder value.Brief Description: Merrill Lynch is seeking an accomplished attorney to manage abroad range of investment advisor matters.  Merrill Lynch is an industry leader in investment management products and services, including wrap fee programs and other investment advisory services.  Currently, clients hold over $300 billion in Merrill Lynch’s various investment advisory services, which include programs utilizing third party asset managers, Merrill Lynch Financial Advisors serving as portfolio managers, and Mutual Fund and Multi-disciplinary asset allocation.  Among other strategic initiatives, the business is now focused on expanding the investment advisory offerings available to Merrill Lynch clients and Financial Advisors, while maintaining an efficient operating platform.  Job Responsibilities:Serving as a key legal advisor to business leaders on Merrill Lynch’s most important investment advisory products and services, including Merrill Lynch Unified Managed Account, Consults and other programs, and the registered investment adviser entities associated with these programs. Providing legal advice and recommendations to business partners in the product, sales and marketing areas on a wide range of investment advisory and related products and services – including product formation, new product marketing and ongoing advice.  Working closely with internal and external constituents, including outside counsel and regulatory/governing bodies, in the interest of Merrill Lynch acting in full compliance with all requirements and standards. Taking the Merrill Lynch Legal organization to a next level of performance and quality – ensuring innovation, rigor and a reputation for “best on the streetâ€� practices.  Qualifications:   6 + years experience in supporting registered investment advisers and their products and services.  Deep knowledge of federal securities laws, particularly the Investment Advisers Act of 1940.  Knowledge of the Investment Company Act of 1940, broker-dealer rules and/or ERISA is a strong advantage. A relationship builder, who can establish trust and credibility across the Merrill Lynch organization as well as with regulators and other key external constituents.  Impeccable business integrity, sound judgment and strategic vision.
