Madison Capital Management, LLC, a growing alternative investment management firm that specializes in niche real estate, distressed, natural resource, and special situations investments, is currently seeking a Senior Attorney to join its Denver-based team. Founded in 1996, Madison maintains offices in Denver (CO), New York (NY), Kansas City (KS) and, through Madison (Europe), Luxembourg.  As of December 2007, Madison and its affiliates had approximately $800 million in capital on behalf of a select group of U.S. and European institutions, and had approximately $450 million of assets under management. 

 

Madison seeks a Senior Attorney to join our team in Denver.  The successful candidate will assume significant responsibility for the legal “healthâ€� of many of the Company’s matters, both as to substantive legal issues, and the management and fiscal decisions associated with obtaining legal advice.  Counsel will provide legal services directly to internal “clientsâ€� within the firm as well as manage the provision of legal services by outside counsel.  The excitement and challenge of this engagement stem from the breadth of legal issues to be confronted, the “first impressionâ€� quality that many of these legal issues present and the “front lineâ€� exposure to the principals and key executives of the firm.  In return, Madison offers a challenging professional environment that is multi-disciplinary. The ideal candidate will be a highly motivated individual who posses strong analytical skills and who has the ability to move with agility across multiple disciplines and client demands in an event driven environment.  The attorney must be able to develop, articulate and advocate legal advice as well as move across diverse subject matters.  Candidates should also possess solid organizational and time management skills, a high level of initiative and the ability to work independently.  Due to the opportunistic nature of our investment strategy, work schedules vary based on current initiatives and the environment is often fast-paced and intense. Prior in-house experience is desirable.

 

Responsibilities include, but are not limited to:

 

(i)  Assist investment professionals in the preparation of transactional documents;

(ii)  Assist management in the evaluation of legal advice rendered by outside counsel; 

(iii) Manage litigation;  and

(iv) Assist investment professionals in obtaining the best and most cost-effective representation. 

Qualifications and Requirements are as follows:

 

§  Lawyer in good standing and admitted to practice in Colorado;

§  Minimum six years practice in corporate transactional/securities law;

§  Meticulous analytical skills;

§  Excellent communication skills with the ability to “translateâ€� client needs to counsel as well as interpret and apply legal advice to the facts presented;

§  Prefer:

o background in  real estate, entity creation and management, REIT’s, securities, lending and general commercial law,

o background in the Investment Advisers Act of 1940,

o background in bankruptcy law,

o familiarity with the preparation of disclosure documents and supplemental sales material

o working knowledge of French or German is a plus

o exposure to legal issues surrounding capital raising in Europe is a plus

 

The Senior Attorney reports to the Chief Legal Officer.
