Responsible for all planning and execution of Board and Shareholders meetings, records of all meetings, board compensation, director education and communication, and legal and regulatory compliance. Also responsible for key areas of corporate governance including but not limited to SOX, SEC and others. This position may also represent the Company in legal claims, lawsuit, and litigation. Advises and consults Senior management and other departments on various legal issues, and educates on proactive measures and approaches to reducing all potential legal exposure.Duties & Responsibilities1. SEC filings including registrations statements, Form 8-K, Form 10-Q, Form 10-K, Proxy statement, and Section 16 filings 2. Board and Committee responsibilities, including coordination of meetings, establish board and committee meeting schedule for fiscal year, preparation of Board and Committee Books, attendance at meetings and preparation of meeting minutes 3. Corporate Governance, including entity formations, corporate reorganizations, maintenance of corporate records, committee charters and governance policies 4. Participate in quarterly earnings release process, including review of earnings release. Participate on the Company's Disclosure Committee and responsible for certification process in connection with periodic filings with the SEC 5. Serves as focal point for interaction with various State regulatory agencies for product filings questionnaires and surveys. 6. Provide analysis and counsel on legal, policy, and environmental issues to include; proposed new products, protecting intellectual property, mergers & acquisitions, financial offerings, financial structuring, securities offerings, compliance issues for a pre-IPO company, ESOP transactions, nondisclosure agreements, outsourcing agreements and business strategic planning. 7. May be asked to lead the company through the IPO process, and attend to SEC and public shareholder issues. 8. Provide legal counsel on issues arising from actual or anticipated lawsuits. 9. Anticipate and guard against legal risks facing the company. 10. Develop and recommend company policy and position on legal issues. 11. Conduct and coordinate research into a variety of legal issues. 12. Represent the Company or its officials in various legal proceedings. 13. Prepare legal pleadings, motions, discovery, stipulations, etc. 14. Write, review, and edit reports, opinions, correspondence, articles, and other documents. 15. Write and administer complex vendor, client, and employment contracts. 16. Develop and recommend of operating policy and procedural improvements. 17. Performs other related duties as assigned.The duties and responsibilities described above are the essential functions of the job. At least eight years of experience, preferably both law firm and in-house corporate experience, responsible for securities, corporate governance and finance. At least three years experience representing public companies and practicing securities law. The position reports to the General Counsel and may have supervisory responsibilities for other attorneys and paralegals. This person will interact extensively with senior executives, senior management, and the board of directors.Demonstrated leadership potential, ability to articulate compelling vision and goals, and ability to motivate and guide others to meet those goals. Must be highly organized, detail-oriented, proactive and self-starter. Proficiency in performing multiple tasks and dealing with changing deadline requirements required. A commitment to excellence, quality, and timeliness of work. This includes knowing when to escalate issues. Proven ability to originate, develop and monitor the implementation of creative and practical business solutions. Proven ability to prioritize projects for the Company based on risk analysis. Ability to handle multiple complex tasks and priorities continuously. Critical strategic thinking skills, ability to rapidly assess issues and associates risk and ability to make critical decisions in a fast paced environment are essential. Must be PC literate with working knowledge in the use of Microsoft office suite of software. Ability to read, interpret, and understand documents such as laws, business documents, system documents, company policies, procedures, and operational audits. Must be well organized with excellent analytical and negotiating skills, and superior oral and written communication skills and temperament to aggressively representing the interests of TransUnion. Ability to work within a fast-paced environment and handle a large volume of diverse legal work.
