Sr. Legal Administrator/Paralegal (Team Lead) This position will report directly to the General Counsel and provide legal administrative support to the corporate legal department and General Counsel.Responsibilities:Legal Business Administration: • Review, monitoring and processing of actual and budgeted legal department expenses • Supervisory responsibility of legal administrative staff • Manage legal department vendor relationships/agreements • Participate in development of Legal Department budget • Develop written policies and procedures for management’s approval for routine functions • Establish, maintain, and manage filing and contract management system for all legal documents, including a master file for agreements and other legal matters • stablish and maintain legal matter tracking system • Maintain Legal Department Intranet siteCorporate Secretary and Entity Compliance Assurance: • Maintain minute books for all entities (foreign and domestic), including drafting of resolutions, minutes, and consents • Responsible for all corporate entity filings, including annual filings and qualifications. • Administer stock option program • Legal entity system administration and coordination of subsidiary corporate governance, subsidiary transactions and compliance for domestic and international subsidiaries of the company • Maintain the legal entity database • Assist with corporate governance matters and SEC (including periodic filings and SOX) compliance • Manage, form, terminate and merge legal entities projects; handle restructurings and other transactions involving company’s legal entitiesLitigation and Bankruptcy: • Support litigation matters, including discovery, calendaring and settlements • Manage collection matters with outside counsel • Monitor and manage bankruptcy matters, including filing of proof of claims and managing bankruptcy databaseLegal Business Development Support: • Train, educate and/or assist staff on company legal policies • Participate in M&A due diligence and transaction closings • Participate in contract administration activities Requirements:• Bachelor's degree and paralegal certificate • MBA classes preferred • Law firm and corporate law department experience Click here to APPLY NOW.
