Job Description of Corporate Paralegal:


We are seeking a motivated and multi-talented person on a full-time basis to provide paralegal and administrative services at our New York headquarters. He or she is as a key support person to the Legal Department while interacting with all company business units. This person works directly with the attorneys of the Legal Department to execute the day-to-day legal tasks.


Responsibilities of Corporate Paralegal:


Coordinate document execution and legal file organization.
Maintain corporate records such as stock ledger and minute book.
Draft a variety of agreements and legal documents, including contract templates and corporate minutes.
Assist in the development and implementation of compliance initiatives, including privacy, information security and record retention policies.
Coordinate internal meetings and travel.
Process legal department expense documentation.
Legal research, especially federal, state and local rules, regulations and legislation.
Serve as a liaison and assist in dissemination of legal department information to others in company, including through presentations and intranet presence.
Assume proactive role, identifying new processes and areas for improvement, easing attorney workload and taking necessary steps to implement changes within budgetary and personnel constraints.



Corporate Paralegal


Requirements of Corporate Paralegal:


Experience as a corporate paralegal or contracts administrator in a reputable law firm or in house legal department.
Significant background in one or more of the following areas: corporate governance, commercial contracts, licensing, intellectual property, M&A, securities.
High proficiency in Microsoft Office products, especially Word, Excel and Powerpoint; exposure to SalesForce and MediaWiki a plus.
Ability to work with minimal supervision and to deal effectively with all levels of co-workers.
A willingness to work on matters requiring new skills.
Exceptional organizational abilities.
Excellent oral and written communication skills.
Basic good judgment and discretion.
