Contracts Negotiator - 3063

Serena Software seeks a Contracts Negotiator with software licensing experience.

Responsibilities: 
*Prepare Serena agreements for customers, including software license agreements and consulting services agreements.
*Review exceptions and modifications to Serena agreements; review customer provided agreements.
*Negotiate agreements with customers; support Sales to resolve issues and close new business while protecting Serena’s interests.
*Assess customer requests concerning agreements; plan and execute negotiation and conflict resolution strategies and tactics in order to achieve mutually agreeable solutions.
*Assist Sales in structuring transactions; proactively use independent judgment in advising Sales on legal and contractual elements of prospective transactions.
*Provide training to Sales on licensing and contractual matters.
*Provide assistance to other members of the Legal Dept. and other Serena departments as needed.


Requirements:

*3-5 years contracts experience in software licensing.
*B.A. required, J.D. desirable
*Excellent verbal and written communication skills, including the ability to independently draft new contract language.
*Ability to understand, conceptualize, and articulate legal and business issues at a high level of sophistication and precision.
*Ability to independently make real time decisions on contractual issues.
*Knowledge of terminology commonly used in contracts and software licensing.
*Ability to work in a fast paced, team oriented environment.
