Contracts Manager

Envision Telephony is a dynamic software organization located in downtown Seattle. We are seeking an experienced Contracts Manager to join our Operations Team.


 

Envision helps businesses such as Costco, Nike and Nordstrom deliver legendary customer sales and service experiences.  We make software that almost magically turns a call center into a profit center.  It can also be used to amplify the voice of customers so that they can be heard at all levels of an organization.

 

The Contracts Manager is responsible for managing the contract process for domestic and international business operations and other legal tasks as assigned by the CEO or Controller

 

Job Requirements

·  Bachelor’s degree.  MBA preferred.

·  5+ years of experience negotiating licensing agreements (software license exp preferred). Solid understanding of accounting rules related to software revenue recognition desired.

·  Excellent client service and organizational skills. Ability to work with senior levels of management effectively.  Ability to work cross-functionally in a deadline driven dynamic environment. Sensitivity to working with confidential information required.

·  Excellent oral and written communication skills. Proficient with use of Microsoft® Word and Excel. Familiarity with Salesforce.com helpful.

 

Primary Responsibilities:

·  Draft and negotiate a variety of domestic and international agreements including: software licensing, software support, professional services, consulting, reseller, distribution, OEM and partnership agreements. Review and negotiate vendor agreements.

·  Resolve deviations from standard terms and conditions in a manner that satisfies both customers and internal clients while protecting the company and limiting financial exposure.  Obtain appropriate approvals for non-standard terms in accordance with corporate guidelines. Perform risk benefit analysis to mitigate risk in an efficient manner. Summarize non-standard terms and conditions of all agreements prior to execution by company management.

·  Maintain the company’s Authority Matrix which identifies levels of authority within the organization.

·  Manage relationships with external counsel. Prepare internal status reports on intellectual property and other matters assigned to external counsel. Oversee efficient use of external legal budget and resources.  Provide legal perspective on business matters to internal business units.

·  Develop proactive working relationships with Sales, Finance, Marketing, Professional Services and Development Organizations and the CEO.  Partner with sales leadership in order to assist in closing transactions in a timely manner.

·  Provide legal review and comment on RFP responses. Manage the source code escrow relationship. Create and maintain standard contract templates in accordance with corporate guidelines. Manage contractual information maintained in the company’s CRM database.
