POSITION SUMMARY:  StarCite is seeking an experienced attorney to assume, on a part-time basis (25 to 30 hours per week), primary responsibility for the company’s commercial contract drafting, review and negotiation process.  The position will report to the VP and General Counsel.

ESSENTIAL DUTIES AND RESPONSIBILITIES include the following.  Additional duties may be assigned.Draft, review, analyze, and be primarily responsible for negotiating commercial agreements with clients, strategic partners and vendors of the company.  Collaborate cross-functionally with the company’s sales, account management, engineering, information technology, marketing, and finance groups to understand and ensure consistency of agreement terms with the company’s business and financial objectives.  Advise internal clients regarding legal and business issues, including identifying, managing and communicating risks and opportunities associated with specific agreements. Conduct due diligence review of the company’s existing commercial agreements and identify historical deviations from standard terms. Track the company’s contractual commitments through covenants in existing agreements and coordinate compliance with such covenants on an ongoing basis.   Conduct various additional other legal and ad hoc projects as required.



REQUIREMENTS
5+ years commercial drafting and contract review and analysis experience. Experience in software licensing transactions with hands-on negotiation experience. Experience with software-as-a-service business model a plus. Bar admission.
