Job Purpose

Prepares drafts, negotiates, and manages non-disclosure agreements, limited use agreements and other standard and non-standard agreements; interpret contract language.  This is a general transactional position that will be providing legal and administrative support to the US licensing group.

 

Accountabilities / ResponsibilitiesDraft, analyze, review, and negotiate contractsDetermine the appropriate legal and business language and draft legal documents that accurately capture the terms of a transaction and minimize legal risk to the companyReview and analyze documents in order to determine contractual obligationsDetermine the proper approval levels for all functional areas, such as approvals for pricing, revenue recognition, credit, and product-line issuesCommunicate and interpret the terms of contracts to appropriate parties, including Sales, Finance, Marketing, and executive managementEnsure that contract provisions can be implemented and that contracts are capable of being administered after executionIdentify areas for improvement in policies and processes for the Legal DepartmentNegotiate both standard and non-standard agreements.Provide admin support to the US licensing groupAd hoc projects

 Education & Qualifications BA/BS degreeParalegal certificate from an ABA approved program preferred 3-5 years paralegal, contracts admin experience
