Within TAS, the Transaction Tax services practice helps our clients plan, execute and integrate their transaction strategies from a tax perspective both domestically and across global markets. Our Transaction Tax services include deal structuring, due diligence, post-deal integration, tax attribute management, and opinions and ruling requests. Our Transaction Tax team is comprised of seasoned professionals with practical transaction experience from international accounting firms, law firms, industry and the government.We currently have a career opportunity for a SALT Manager in the Transaction Tax practice. The position is based in the US, however there is opportunity for global assignments for those with interest.Responsibilities:Serve as a member of multiple client engagement teams, participating in state and local tax due diligence and structuring engagements related to transactions that private equity and strategic corporate entities pursue. Identify and analyze tax risks and opportunities while advising both strategic and private equity buyers and sellers on state and local tax strategies for acquisition, disposition, and restructuring of businesses. Assist in reviewing and analyzing merger agreements and providing opinion letters.Review, assess, and advise clients regarding the state and local tax computations reflected in their financial models, and assist clients in the quantitative and qualitative analysis of the tax data in their financial projections for the transaction. Qualifications:To qualify, candidates must have: a Bachelor's Degree or equivalent required, Accounting major preferred a Masters Degree in Accounting, MST or JD/LLM preferred a Certification as a CPA, Enrolled Agent or Attorney required a minimum of 4 years of relevant tax experience (SALT, M&A tax due diligence, deal structuring, and post acquisition planning experience preferred) strong communication, presentation, project management, and business development skills strong writing, research and analytical skills strong self-motivation with the ability to work in a dynamic, time-sensitive environment with varying deliverables and changing requirements The successful candidate must be willing and able to travel, when necessary To qualify, candidates must have: a bachelor's degree or equivalent, or a JD with a bachelor's degree in accounting a CPA, JD, or LLM a minimum of 5 years of related tax consulting experience (managerial experience a plus); experience with significant dealings managing due diligence projects providing a thorough review of corporate tax returns and financials strong general corporate tax experience with mergers and acquisitions, and/or proficiency in providing tax advice for middle-market clients knowledge of Code Section 368 for Tax-Free Reorganizations, roll-ups, consolidation rules and regulations, stock transactions, and federal tax laws preferred excellent writing, research and analytical skills the ability to recognize attributes of the sale or merger and to detail potential tax exposures willingness and ability to travel, when necessary
