Location:US-CA-Los Angeles Job Number:LOS0001O Employee Status : Regular Job Type :Experienced Schedule : Full-time Description Ernst & Young's Transaction Advisory Services (TAS) practice offers companies professional mergers & acquisitions experience. We help clients determine the right deal to do, and then assist them in doing the deal right. Within TAS, Transaction Tax services encompass the strategic development and execution of a transaction structure from a tax perspective, including executing tax due diligence, challenging assumptions about future tax performance, and assisting with the tax aspect of purchase agreements, post-closing, and other Mergers and Acquisitions (M&A) tax matters. We currently have a career opportunity for an Indirect Tax Manager (property tax, sales & use tax, employment tax and incentives) in Transaction Tax. ResponsibilitiesServe as a member or leader of multiple client engagement teams, participating in due diligence engagements related to acquisitions by private equity investor groups and strategic corporate buyers. Serve as the indirect tax services team member or leader for corporate bankruptcy engagements. Develop sophisticated financial models to analyze indirect tax performance results of potential buyers or targets. Assist with indirect tax structuring and modeling as it relates to the proposed transactions or bankruptcy situations. Identify and analyze indirect tax risks and opportunities while advising both strategic and private equity buyers and sellers on alternative tax strategies for acquisition, disposition, and restructuring of a business. Assist in reviewing and analyzing merger agreements from the indirect tax perspective and providing opinion letters. Structure indirect tax aspects of transactions for both strategic and financial owners, as well as corporate transactions related to acquisition and divestitures. Effectively manage or interact with engagement teams that may consist of attorneys, CFOs, corporate directors, accountants and tax professionals. Establish relationships with portfolio companies to demonstrate indirect tax planning opportunities. Identify and capitalize on opportunities for providing tax planning services to clients and targets. To qualify, candidates must have: a bachelor's degree and approximately 5 years of related work experience; or a graduate degree and approximately 4 years of related work experience an accounting major preferred; or a master's degree in accounting or JD/LLM preferred certification as a CPA, Enrolled Agent or Attorney a minimum of 5 years of relevant tax experience (M&A tax due diligence, deal structuring, professional services, law firm or corporate indirect tax experience and post acquisition planning experience preferred) tax compliance experience preparing or reviewing indirect tax returns, assessments and audits preferred strong communication, presentation, project management, and business development skills strong writing, research and analytical skills a high level of self-motivation and the ability to work in a dynamic, time-sensitive environment with varying deliverables and changing requirements The successful candidate must also be willing and able to travel, when necessary.
