SUMMARY DESCRIPTION 

The Corporate Paralegal for the Law Department will provide support to departmental attorneys in the following main areas: assistance in reviewing and drafting contracts, assistance in management of the company's contract system, support in compliance matters, and any other matters that the department may require. ESSENTIAL DUTIES AND RESPONSIBILITIES

· Create first drafts of sales agreements for review by Law Department Attorneys including purchase agreements, service and repair agreements, evaluation agreements, consignment agreements and rental agreements;

· Review and revise documents from other party including purchase agreements, group purchasing organization (GPO) agreements and standard terms and conditions for sale of goods;

· Coordinate bids and vendor packages with Sales Department for review by Law Department;

· Create first drafts of other types of agreements, such as consulting agreements, clinical trial agreements, material transfer agreements and nondisclosure agreements;

· Assist on departmental projects, including revision or implementation of company form agreements;Provide support with marketing and promotional materials;Assist in due diligence activities with new acquisitions;

· Provide support to the compliance program where needed;

· Work with the other Corporate Paralegal and Administrative Assistants to manage the contract system and provide follow-up on contractual matters;

· Assist with the day-to-day legal responsibilities of members of the Law Department; and

· Perform other duties as assigned.

 DESIRED MINIMUM QUALIFICATIONS

Education:  Bachelor’s degree

 

Type and Number Years of Experience:  A minimum of five years in a corporate department of a law firm or a corporate law department of a company.

 

Computer Skills:  Proficient in use of the computer and software packages such as Word, Excel, Outlook and PowerPoint. Database management skills preferred.

 

Other Skills:

· Demonstrates excellent written and oral communication skills, including a strong

understanding of grammar and ability to originate written documents;

· Ability and experience drafting contract provisions and reviewing and revising corporate

agreements;

· Demonstrates initiative and ability to manage projects from start to completion;

· Operates well independently and without close supervision;

· Good organizational and follow-up skills;

· Excellent attention to details; 

· Remains calm and focused in pressure situations;

· Ability to interact with a wide variety of employees from other departments;

· Ability to maintain confidentiality and assist on sensitive matters with discretion

· Ability to adapt to a changing environment and work under tight deadlines

· Successfully sets priorities, performs tasks in an orderly fashion and meets deadlines;

· Good telephone skills and mature judgment; and

· Ability to work limited overtime, as needed;
