Summary: Great opportunity to join the Legal Department of a publicly-traded pharmaceuticals company by supporting all aspects of the company’s day-to-day legal affairs and work in a collaborative environment within a dynamic and fast growing company.

 

Essential Duties and Responsibilities: 

 

The Corporate Counsel will support all aspects of the day-to-day legal affairs of the company, including but not limited to, the following:

· Draft, review and negotiate contracts, including confidentiality, clinical trial, license, marketing, distribution, manufacturing, supply, employment, consulting, services and other commercial agreements.Serve as liaison and facilitator between legal and other departments during contract negotiations, maintaining all company records for all contracts.Assist in fulfillment of public company reporting requirements under the Securities Exchange Act of 1934 and Securities Act of 1933, including all annual, quarterly and interim reports, Section 16 filings, proxy statements and registration statements.Advise Human Resources Department and senior staff regarding employment law issues, including administration of equity compensation plans.Responsible for day-to-day corporate records maintenance.Assist with other tasks in Legal Department as needed based on time availability.

Qualifications/Requirements/Skills: JD required. Minimum of 3 to 5 years of relevant experience, preferably in a law firm and/or the biotech/pharmaceuticals industryAbility to prioritize to meet tight deadlines and adjust to workload fluctuations.Strong negotiation, communication, administrative, and time management skills.Excellent drafting skills.Excellent business judgment and strategic thinking. Ability to form strong working relationships with partners and employees while maintaining firm adherence to proper legal standards. Strong organizational, analytical and problem-solving skills.Flexibility and willingness to work on a broad variety of legal matters. 

Compensation: Commensurate with experience
