Legal Department Manager/Assistant Counsel
FirstMerit Bank                                                                                                                  a $10.4 billion of community banks is seeking a Legal Department Manager/Assistant Counsel. As the Manager of the Legal Department/Assistant Counsel you will assist the Chief Legal Counsel on a variety of legal matters while working closely with representatives from various departments on developing and modifying practices and procedures.

Management of the Legal Department:Responsible for managing the Legal Department. Perform managerial and administrative functions with respect to Legal Department workflow, budget and personnel issues. Oversee processing of garnishments, child support orders, subpoenas and summonses.Â
Assistant General Counsel Assistance:Assist General Counsel. Draft minutes and other corporate documents as requested. Respond to general corporate and subsidiary issues. Assist with securities filings. Attend Board and Committee meetings. Back up General Counsel as Corporate Secretary as needed.Â
Research/Legal Issues: Research and provide opinions in response to major legal issues and serve as counsel on certain Bank projects. Research and analyze various matters including  negotiable instruments, creditors’ rights, agency, probate, trust and various general legal matters. Respond to customers and/or their attorneys as appropriate. Research various regulatory matters with respect to acquisitions, mergers, formation of subsidiaries, etc. Assist in preparation of applications and notifications regarding same. Correspond with regulators.
Liaison with Outside Counsel:Act as liaison with outside counsel and assist in managing non-foreclosure litigation. Assist with litigation strategy on major cases. Refer general litigation to outside counsel. Assist with litigation database and reporting.Â
We require a JD, 12 years of experience in banking, commercial or corporate law (in house or law firm). Corporate governance and securities background preferred.
