Subcontracts Officer
PRIMARY FUNCTION Participates in subcontract activity in support of the AF Tinker MRO program with moderate to high risk to the business unit. Subcontract activity may be non-routine and require development of specialized contract vehicles and techniques to accomplish business goals and objectives. Generally involves independent judgment and analysis of significant issue identification and resolution. May recommend development of new subcontract processes or assessment of required deviations from established norm. Applies Battelle policies, procedures and practices to the business situation. Acts as a resource for advice, counsel and guidance. MAJOR RESPONSIBILITIES 1. Reviews complex solicitations and prepares specialized and/or non-routine response for proposals, bids, and contract modifications. Negotiates price/cost and price/cost-related terms and conditions and other subcontract provisions. Contributes to the development of the subcontracting strategy. 2. Reviews Battelle's prime contract or client RFP and analyzes provisions and requirements to ensure subcontract solicitations are consistent with prime contract requirements and Battelle policy. 3. Develops a bidders list and issues competitive solicitations. 4. Qualifies subcontractor through research, analysis and makes subcontract strategy recommendations. Verifies subcontractor expertise through Market Research. 5. Develops subcontracting strategies in partnership with internal clients. Identifies non-standard terms and reviews their appropriateness with Legal to determine if further review and/or management approval will be required. 6. Prepares and issues complex RFPs. Identifies appropriate subcontract type to achieve intended results and mitigate risk. Reviews and approves the Statement of Work (SOW, schedule and deliverables) and drafts appropriate solicitation/subcontracts documents. Includes flow-down terms and conditions as required in Battelle contract or client RFP. 7. Mentors, trains and develops lower level subcontract professionals to assume more complex contract activity. 8. Analyzes significant, and/or unique contract requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations, and Battelle policies. 9. Develops, negotiates and administers subcontract agreements in accordance with Battelle Policy and standard terms and conditions. Prepares subcontract award and modification file documentation. Develops negotiation strategy and leads negotiation team on complex contractual issues. 10. Assists in resolution of non-conforming invoices when identified. 11. Assists in Subcontract Closeouts, including document closeout, Open Purchase Commitment management and development of reports for department and internal client review. 12. Ensures integrity, completeness, accuracy and consistency of subcontracting data entered into the system by Data Analysts. Assures any required flow-down provisions are identified and communicated. Reviews the detail of data entered for subcontracts that is utilized by other support groups and assures it appropriately and accurately reflects the necessary information: particularly the data utilized in Accounts Payable to process subcontractor invoices. 13. Analyzes new law, regulation and contract trends for potential impact on subcontracting goals and objectives. 14. Assists in identification, development and implementation of new subcontract policy and processes. MINIMUM JOB REQUIREMENTS Requires a Bachelor's degree in business or related field and minimum eight years of relevant experience performing in a procurement or subcontract analysis, review, and administration position or equivalent years of education and experience. Masters degree desired. Ability to draft moderate to complex, non-routine contractual instruments. Demonstrated knowledge of Federal Acquisition Regulation and UCC procedures/transactions. Adept at flowing down required FAR, DOD, and other federal agency clauses and provisions form Prime contract to subcontract. Excellent working knowledge of corporate policies and procedures, coupled with ability to identify required improvement to established policies and to communicate implementation procedures to others. Expert knowledge of contracting concepts, Uniform Commercial Code, applicable public contract acquisition law and regulations, and applicable international contract law. Excellent analytical and communication skills. Good presentation, leadership and mentoring skills. Excellent internal and external negotiation skills. Must have a background which would not preclude a security clearance granted.
