Head of SOX and Internal Controls
Accretive Solutions is a national professional services firm that provides executive search services in the areas of accounting and finance, internal audit, tax and technology.
We are currently seeking a Head of SOX and Internal Controls for a profitable, growing and exciting organization that is a market leader in its industry. The company offers a dynamic environment as well as excellent employee benefits.
Job Description/Role Profile:
· Own the Sarbanes-Oxley S404 reporting program. Ensure that quarterly Certification is provided to (Parent) in compliance with the legislative requirements. Build the networks to change the culture to one of business line testing with review by Enterprise Risk. Train the business lines to identify their own risks and controls and perform their own testing in line with Group requirements.
· Maintain communications with SOX Program Office and External Auditors to provide status update on SOX testing and avoid surprises.
· Keep up with SOX audit requirements, latest issues, future changes proposed by Public Company Accounting Oversight Board (“PCAOB”) by participating appropriate trainings and conference calls.
· Ensure the quality of SOX audit is acceptable for D&T Auditors.
· Ensure SOX risks and controls are properly reflected in the Risk Control Self Assessment program.
· Coordinate with other auditors (i.e. SAS70, Internal Audit Group, D&T Auditors) to perform SOX audit efficiently and effectively.
· Co-ordinate with Business Lines the review of relevant Policies, identify gaps, co-ordinate the implementation of action plans and/or act as liaison with Group committees to request exceptions to policies.
· Assist on the quarterly Self Certification Program for assigned processes and policies to assess compliance/performance and obtain signoff from all Business Unit Executives. Create quarterly certification report and obtain signoff from CEO.
· Own the Risk Control Self Assessment Process. Identify the high risk business lines within the organization and design and build their risk inventories.
· Act as liaison with Business Line Assurance function to ensure that current practices are understood and validated.
· Ensure that operational considerations and opinions are heard by Enterprise Risk and due weight given to these. Influence Enterprise Risk decision making as appropriate, using expert knowledge and experience.
· Assist in the management of the large loss reporting program consistent with requirements.
· Assist in the management a loss data collection program to capture losses as per Basel II requirements.
· Assist in the co-ordination and preparation of Scenario Analysis that meet Basel II requirements; in conjunction with the business lines. Ensure that the relevant business lines are engaged, trained and validate scenarios and frequency/severity calculations as plausible.
· Assist managing the residual risk and issue tracking databases, ensuring that residual risk outside appetite is expressed in terms of actions to reduce appetite and areas where executive decisioning on resources is required. Ensure that Executive Leadership Team is kept up to date on areas of risk outside appetite.
