Corporate Action Professional Summary
Our client, a high profile investment bank, is looking for a particular individual to work on a temporary basis for Corporate Actions. This individual will have three years of experience and a Bachelor’s degree. Compensation will consist of $26-$28 an hour.

Voluntary Corporate Action Professional FunctionWork as part of a team handling Voluntary Corporate Action events for a major broker-dealer.  Set up, monitor, and process Voluntary Corporate Actions from inception to allocation, including, but not limited to:Tender offers (prorated and with consents)ExchangesConversionsRightsWarrantsADR cancellationsDutch auctionsPutsConsentsUIT in-kind distributionsElections in book-entry form PhysicalsProcessing early CD redemptions due to deathCMOPsAssist in process improvement initiatives and process documentation.  Maintain responsibility for the compilation and distribution of various management and regulatory reports such as volume and risk analysis.

 


Essential Corporate Action Professional Skills & Characteristics

RequiredExperience in summarizing and processing all types of Voluntary Corporate Actions while minimizing risk and liabilities to a firm. Such risk management includes the ability to understand the correlation between trading and client eligibility and taking proper precautions in counter-broker liabilities and FA notifications.  The ability to translate complex information into layman's terms is essentialIn-depth knowledge of DTCC Corporate Action processing routines, systems, and methodsKnowledge of DTCC receive and deliver systems, and cash movement systemsThorough understanding of stock records and journal entries is essentialSound reconciliation and analytical skillsStrong communication skills (both written and verbal) that will allow individuals to effectively interact with external contacts at depositories, agents, and internal clients up to the officer level Advanced MS Excel and MS Word skills required  Time-management and multi-tasking is critical due to deadlines associated with this position

DesiredExperience documenting process flows and creating policy and procedure documentsFamiliarity with Mandatory Corporate Actions and a working knowledge of the DTCC Dividend system is helpful.Researching capability and the ability to resolve breaks is useful

For successful performance in this role, the individual should demonstrate skill competencies including but not limited to the following areas:Business knowledge: A thorough functional and conceptual understanding of Voluntary Corporate Actions on all product typesThe individual should comprehend the impact of Stock Loan & Borrow, fails, and ACATs on Voluntary Corporate Actions.A basic working knowledge of how trades are actually executed and settle in the marketThe ability to identify legal, regulatory, and compliance risksComprehension of process drivers and vendor announcement sources
